Terms of Service

• You must be at least 13 years old to use LiveGrid.
• You must provide accurate registration information and keep it current.
• You are responsible for safeguarding your password and for all activity under your account. Notify us immediately at legal@livegrid.alldayautomations.ai if you suspect unauthorized access.

You agree not to:

• Use LiveGrid for any unlawful, infringing, or fraudulent purpose.
• Misrepresent your identity, credentials, performance history, or affiliation with any artist, venue, or rights holder.
• Scrape, mass-download, or redistribute LiveGrid content without our written permission.
• Circumvent the LiveGrid booking flow to avoid platform fees once you have been introduced through the service.
• Harass, threaten, or discriminate against any user.
• Upload malware, spam, or content that violates a third party’s rights.

• Payments and payouts are processed by Stripe, Inc. via Stripe Connect. By creating a payee account, you also agree to the Stripe Connected Account Agreement.
• LiveGrid platform fee: 10% of the booking subtotal, paid by the venue. Stripe processing fees apply on top of the platform fee and are itemized at checkout.
• Escrow: Funds are held in escrow from the time the venue pays until 48 hours after the scheduled show end time, when they are released to the artist unless a dispute is opened.
• Tax reporting: Artists are responsible for their own taxes. Stripe issues 1099-K forms where applicable.

Cancellations are governed by the booking state machine described in our help center. Default policy:

• Venue cancels >14 days before show: 100% refund of escrow, minus Stripe processing fees.
• Venue cancels 3–14 days before show: 50% refund; the other 50% is paid to the artist as a kill fee.
• Venue cancels <72 hours before show: 0% refund; full amount is paid to the artist.
• Artist cancels for any reason: 100% refund to venue. Artists who cancel last-minute repeatedly may have their account suspended.
• Force majeure (natural disaster, government order, illness with documentation): both parties may cancel without penalty; LiveGrid platform fees are refunded.

You retain ownership of the content you upload (photos, audio, video, set lists, press kits). By uploading content to LiveGrid, you grant LiveGrid a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content solely for the purpose of operating, promoting, and improving the LiveGrid service. This license ends when you delete the content, except for copies retained in backups (which expire on the rotation cycle described in the Privacy Policy).

You represent that you have the right to upload everything you upload, including synchronization, mechanical, and master rights for any audio.

LiveGrid respects the intellectual property of others. If you believe content on LiveGrid infringes your copyright, send a written notice that contains all of the following to our designated agent:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the material that is claimed to be infringing, with information sufficient to locate it (URLs).
• Your contact information (address, phone, email).
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove content and terminate repeat infringers. Counter-notices may be sent to the same address.

LiveGrid provides a dispute-resolution process for booking disagreements. Either party may open a dispute within 14 days of the show. Funds in escrow are held until the dispute resolves. LiveGrid’s decision is final for purposes of releasing or refunding escrow funds; the underlying contractual dispute between the parties remains theirs to settle.

• You may close your account at any time from Account Settings.
• We may suspend or terminate your account for material breach of these Terms, fraudulent activity, repeated chargebacks, or as required by law.
• On termination, your obligation to pay outstanding fees and your representations and warranties survive.

LiveGrid is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. Bookings are agreements between the venue and the artist; LiveGrid is not a party to those agreements.

To the fullest extent permitted by law, LiveGrid Music Corp, LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our aggregate liability for any claim arising out of or related to these Terms or the service is limited to the greater of $100 or the fees you paid LiveGrid in the 12 months preceding the claim.

You agree to indemnify and hold harmless LiveGrid Music Corp, LLC and its affiliates, officers, and employees from any claim, demand, or damages, including reasonable attorneys’ fees, arising out of your breach of these Terms, your content, your use of the service, or your violation of any third-party right.

Any dispute arising out of or relating to these Terms or the service that is not resolved through LiveGrid’s internal dispute process will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration is Miami-Dade County, Florida. You and LiveGrid waive the right to participate in a class action. You may opt out of this arbitration provision by emailing legal@livegrid.alldayautomations.ai within 30 days of first accepting these Terms.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any action not subject to arbitration must be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction there.

We may revise these Terms from time to time. The “Last updated” date at the top reflects the current version. We will notify you of material changes by email or in-app notice. Continued use after the effective date is acceptance.
